Jack M. Meredith, Founder & President
Jack Meredith founded Meredith Mergers, LLC, Inc., in 1993. His career in the financial services industry dates back to 1986. During that time he held positions with two of the country's most prestigious investment banks. Mr. Meredith was a Vice President with Oppenheimer & Company in Fort Lauderdale, Florida and a Director with Bear Stearns & Company in Atlanta, Georgia. Mr. Meredith was also Founder and President of Meredith Financial Services, Meredith Asset Management and Meredith Capital Partners, the first hedge fund in existence within the state of South Carolina. He serves on the Board of Directors of the Coastal Venture Investment Forum and the Project Review Board of Meredith Mergers, LLC. He is the CEO of Meredith Developments, LLC, a Commercial Real Estate Brokerage and Advisory firm. He is the owner of CargoPants.com, LLC, an eCommerce company and Don't Harsh My Mellow, LLC, an Apparel and Consumer Products Company which owns the Federally Registered Trademark - Don't Harsh My Mellow ® and over one hundred other trademarks. Mr. Meredith earned his BA in Finance at the University of Florida.

William E. Dyer, Senior Vice President, Food Manufacturing
William Dyer is a Senior Vice President with Meredith Mergers, LLC. From 1965 to 1974 he was a top marketing executive with General Foods Corporation. In 1975, at the age of thirty-two, he became the President of Old El Paso. In 1977 he became the President of U. S. Grocery Operations at Pet Incorporated. In 1979 he became President of Planters Peanuts, and shortly thereafter, became President of the U. S. Food Operations of the parent company, Standard Brands. He was a corporate officer of Standard Brands which through several mergers, later became RJR / Nabisco. In 1983 he founded the Dyer Group which provided consulting services to privately held and closely held public companies in a broad spectrum of industries. In 1992 the Dyer Group acquired Barnes Management which combined his twenty-five years of corporate experience with his extensive knowledge of his non-corporate interests - motor sports. The merged companies became Barnes Dyer Marketing, Inc., which was recognized as the leader in motor sports marketing. The firm's focus was developing and managing corporate sponsorship and business to business programs around venues, teams and drivers. Barnes Dyer Marketing, based in Irvine, CA, generated over $100 million in sponsorships for the top teams and venues and did business to business consulting work for the corporations involved in the sport. In 1999 he sold Barnes Dyer Marketing. He has served on the board of directors of privately held companies and civic organizations. Mr. Dyer earned his BA in English Literature at Brown University and his MBA in Labor Relations at the Wharton Graduate School.

Eugene F. Wilcauskas, Senior Vice President - Chemicals
Eugene Wilcauskas is a Senior Vice President with Meredith Mergers, LLC. From January 2001 to November 2001 he served as President and CEO, New River Pharmaceuticals, Inc. From 1997 to 2000 he served as President, Specialty Products Division, Church & Dwight Co., Inc. - an $800 million NYSE company. He had full P & L responsibility for this $175 million division. He structured a $40 million joint venture (for industrial cleaners) with Safety Kleen. He also established a joint venture (for functional foods) with Agway. While at Church & Dwight, he acquired Brotherton Specialty Products in the UK, and acquired a majority position in Quimica Geral de Nordeste in Brazil. He doubled divisional operating profit to $28 million and increased ROI from 9.5% to 16.5%. He focused on joint ventures and acquisitions to accelerate this division s return on its core competencies. From 1995 to 1997 he was an Advisor with Investec Strategies, Inc. From 1986 to 1994 he was with Akzo-Nobel (Nasdaq - ADR's) ($13 billion WW; $3 billion NA) - first, as President of Wilson-Fiberfil International (1986 - 1988) where he created the Kohap joint venture for engineering plastics ($40 million Revenues) in Korea; next, as President of the Fibers & Polymers Division for The Americas (1989 - 1992); and, finally as President of Akzo-Nobel s North American operations (1992 - 1994) where he had strategic and oversight responsibility for Akzo Nobel's $2.7 billion chemicals, coatings, fibers, and health care operations in the United States and Canada. With the emphasis on refocusing and strengthening the North American Business, he supervised the acquisition of Goodyear's industrial fibers business ($100 million in Revenues), the creation of Flexys by combining the rubber chemical business of Akzo and Monsato ($600 million), and the acquisition of Diamond Crystal Salt ($125 million Revenues). From 1984 to 1986 he was a Division President and Corporate Vice President of Plastics Specialties & Technologies - a $350 million privately held corporation. From 1983 to 1984 he was Division President, Wilson Fiberfil International - a division of Dart & Kraft Inc. - a $5 billion NYSE company. During his 15 years with Monsanto, a $2 billion NYSE company, he held various positions which included Commercial Director in Sao Paulo, Brazil (1977 - 1979) where he had full P & L responsibility for the $50 million chemicals and plastics businesses. He transformed a $4 million loss to an $8 million profit; and, he created the Bahn Quimica joint venture (for rubber chemicals) with $40 million in annual revenues. As Business Director of Monsanto s Instruments and Equipment business unit in Akron, OH (1979 - 1983) he had full P & L responsibility for the $36 million capital goods business. He increased revenues by $23 million and improved profitability from break-even to $6 million. Mr. Wilcauskas earned his BS in Business Administration from Boston University and completed the Advanced Management Program at Harvard University.

Eugene J. Boros, Senior Vice President - Chemicals
Eugene Boros is a Senior Vice President with Meredith Mergers, LLC. His expertise is in taking marginal businesses and making them profitable, or packaging them for sale. To accomplish the turnarounds he conducted: strategic business analysis, competitive assessments, strategy development, technology and organizational alignment, work process simplification and productivity improvement and, when necessary, downsizing and restructuring. During his 31 years with Union Carbide Corporation - a $6 billion NYSE company, he held various positions with full P & L responsibility, including Vice President, Research & Development, and Chairman of the Technology Council (1998 - 1999). While Vice President and General Manager, Specialty Polymers and Products (1993 - 1998), he was responsible for a portfolio of specialty chemicals with worldwide sales, which increased from $500 million to $1 billion. As Vice President and General Manager, Specialty Chemicals (1987 - 1993), he was responsible for a portfolio of specialty chemicals with worldwide sales, which increased from $300 million to $500 million. Other positions included: Vice President, New Business / New Ventures, Solvents & Coatings Materials (1986 - 1987); President, Agricultural Products (1985 - 1986); Vice President, Director of R & D, Agricultural Products (1981 - 1985); Associate Director, Agricultural Products (1980 - 1981); Group Leader / Technology Manager, Agricultural Products (1976 - 1980); and Research Chemist (1968 - 1976). John R. McGrath, Senior Vice President - Mid-Atlantic Region
John McGrath is a Senior Vice President with Meredith Mergers, LLC. From 1981 to 1995 he was Managing Partner of Ernst & Young, LLP in Syracuse, New York. He was in charge of the firms Entrepreneurial Services Practice for Upstate New York. He specialized in mergers and acquisitions of both private and publicly traded corporations. He was the lead advisor on five (5) acquisition transactions and nine (9) sale/divestiture transactions totaling in excess of $2 billion dollars. A few of his personal clients (publicly traded) were: PayChex, Raymond Corporation, Divi Hotels, Gleason Corporation, P&C Foods, Hardinge Brothers, Inc. and Lipe Rollway Corporation. From 1970 to 1981 he was Managing Partner/Owner of McGrath & Company - a CPA Firm with three New York Offices, seven partners and thirty-five professionals. McGrath & Company was sold to Ernst & Young in 1981. From 1964 to 1970 he was Supervisor of Audit Staff at Ernst & Young. He is a member of the American Institute of Certified Public Accountants. Mr. McGrath earned his B.B.A. in Accounting at LeMoyne College where he was the President of the Accounting Society.

Martin F. Gleason, Senior Vice President - Healthcare
Marty Gleason is a Senior Vice President with Meredith & Company. In 1993 he co-founded Hemophilia Resources of America - a $65 million specialty provider of blood clotting factor and other services to hemophilia patients. He and his partner sold 60% of Hemophilia Resources of America to Summit Partners in December of 1999. He continues to be a non-active 20% shareholder. His areas of expertise are merger & acquisition and management consulting to nursing homes, hospitals, retirement centers and government agencies. His prior positions were: Partner, Medicap Company - a partnership which specialized in the acquisition, development, management and financing of nursing homes, retirement centers, assisted living facilities and medical office buildings; Executive Vice President, Westminster Management Company - an owner and operator of nursing homes and assisted living facilities located in Ohio, Arizona and New Mexico; Senior Contract Manager, Crown Revenue Services, Inc. (Formerly Crown Northcorp) - an asset management company handling over $100 million in healthcare assets from the RTC and private bank portfolios; President, Intermed, Inc. - a nursing home acquisition, management and development company; Acquisition Research Consultant, Americana Healthcare Company - a division of Cenco, Inc. (NYSE) - owners and operators of over 10,000 nursing home beds and over 1,000 hospital beds. He identified, structured and negotiated several acquisitions for Americana prior to Americana being sold to Manor Care, Inc. Denis C. Dice, Senior Vice President - Manufacturing & Distribution
Denis Dice is a Senior Vice President with Meredith Mergers, LLC. He became an owner of the Hunter Fan Company through a leveraged buyout. The company had previously been a division of Robbins & Myers. He also served as Vice President of this well known manufacturer of ceiling fans and residential lighting fixtures. Other positions were Chief Operating Officer - Reeves International - a coater of specialty industrial fabrics and Plant Manager - General Battery Corporation - a manufacturer of industrial batteries. He was former Congressman (SC) Bob Inglis' Campaign Manager for the primaries during his run for the U.S. Senate where he delivered a victory in 2000. Additionally, he was the Campaign Manager for Joann Gilham when she ran for the state (SC) Senate. Mr. Dice was an Assistant Professor of Mechanical Engineering at West Point and is a Registered Professional Engineer. Gene Revoner is a Senior Vice President with Meredith Mergers, LLC. He has facilitated over 20 mergers and acquisitions in the Automotive Industry. From 1978 to 2001 he was with Daimler Chrysler and held several positions including: Senior Manager, Department Head of Business Process Engineering, Business Strategies & Worldwide Integration (1997 - 2001); Retail Development Manager, Sales & Marketing Division (1994 - 1997); National Marketing Executive, Sales Division (1993 - 1994); Senior Operations Manager / Director, Dealership Development Division (1991 - 1993); Senior Branch Manager / Director, Marketing Investment Division (1989 - 1991). While at Chrysler he: managed the turn-around of a portfolio of dealerships that went from a $50 million loss to a $550 million profit; achieved a 300% sales increase in creating the most profitable privately owned minority dealership organization worldwide; added $100 million in sales in one year by developing a just-in-time inventory system achieving 95% inventory turnover. He was also the architect of the innovative Carmax Franchise. Mr. Revoner earned his B. S. in History and Philosophy from the University of Arkansas.

He concurrently serves as the Chairman of Alliance Automation Systems - a manufacturer of custom designed assembly systems for high volume manufacturers within the electronics, transportation, automotive electric, heating & refrigeration, consumer products & appliances and medical products industries. Raymond P. Wenig is a Senior Vice President with Meredith & Company. He is highly skilled in the delivery of technology consulting and management training on diverse issues and concepts involving information systems, software, telecommunications, knowledge management and other advanced systems applications. Mr. Wenig created, authored and produced over 300 training programs on technology concepts and practical steps to design, develop, and deploy technology applications and solutions. He worked with Toucan Capital Corporation of Bethesda, MD ($200 Million) in the evaluation of new telecommunications technology start-up ventures. He was active on a technology evaluation team developing and completing mergers and acquisitions through D. H. Blair and Company and Electronic Cash Systems, Inc. Mr. Wenig assisted Riker-Maxson, Inc. (Nasdaq) ($70 Million) and PMI, Inc. in the evaluation and planning of software provider acquisitions. He participated as a senior management advisor in the merger of CEIR, Inc. (Nasdaq) ($30 Million) into Control Data Corporation (NYSE) ($2.3 Billion) and helped define the operational integration of international professional consulting services providers. Mr. Wenig has worked with government agencies, diverse manufacturing firms and major financial institutions in the evaluation, design engineering, market analysis and strategic planning of technology systems, services and assets. He has worked in the United States, Asia, Australia, Europe, South America and South Africa. He has held executive and managerial positions with Managematics, Inc. and Control Data Corporation. Mr. Wenig was the Editor of the PMI Journal from 1975 to 1978 and is a graduate of the Massachusetts Institute of Technology Sloan School of Management.

He is the Founder and CEO of - Salubre Foods International - a franchiser of food programs to colleges and convenience stores in the U.S., Mexico and Europe, Founder and President - BCI Corporation - a designer and supplier of food equipment to convenience stores and restaurants, Founder and President - Flurry International (Now McDonalds - McFlurry). Smith Company - a $150 million privately held engineering and construction firm. During his tenure he acquired three companies adding $30 million in revenues. The Elwin G. Smith Company was acquired by Cyclops Corporation (NYSE) - a $1 billion conglomerate. He became the President of the engineering and construction division of Cyclops Corporation. He also spent 7 years as Executive Vice President of Michael Baker Corporation (AMEX) - a $390 million engineering and construction firm serving the building, civil, energy, environmental, and transportation markets. The Michael Baker Corporation called him out of retirement with the assignment of identifying, negotiating and structuring several acquisitions for them. He completed the acquisition of three corporations with combined annual revenues of $250 million. Subsequently, he was named as President and CEO of Michael Baker Corporation. He has also served in the following capacities: Board of Directors: Technology Recognition Systems, Geneva College, First Bell Bank (Nasdaq), Suburban General Hospital (Chairman), Michael Baker Corporation (AMEX), Orchard Hill Church, and Western Pennsylvania Hospital.
